Summary

 

Zpages is a subscription webpage (referred to as a zpage) service delivered by Network Z which is a trading style of Zephyros Enterprise Network Ltd. Registered in England & Wales Company Number: 10513903. Registered Office: Thornton House, Cemetery Road, Stoke-On-Trent, Staffordshire, ST4 2DL, England. 

 

These Terms & Conditions are aimed primarily at zpage members and enquirers. Each zpage is operated by its individual owner. Each member publishes their own Terms of Business on their zpage (usually below the footer), which govern their dealings with their customers.

In terms of Network Z, members pay a monthly fee for hosting, care and a set amount of updates. Members own their content; we own our templates/tools. If a member stops paying, their zpage may be unpublished until any balance is cleared. We shall endeavour to promote all of our members zpages by various means but we make no SEO (Search Engine Optimisation) or lead‑volume guarantees. UK GDPR applies. This document sets out the formal terms between Network Z and zpage members.

1) Parties & Definitions

​

Supplier: Zephyros Enterprise Network Ltd ("we/us").


Client: You Personally or Your Limited Company/Partnership ("you").

 

Zpages means our subscription website package(s) (e.g., Directory/Bronze/Silver/Gold/Platinum).
 

Zpage means the webpage we create for you on zpages.net under this agreement.

Content means text, images, video and other assets you provide to us.
 

Working Day means Monday–Friday, excluding UK bank holidays.

 

2) Service Description (Zpages)

​

  • We design, build and maintain a  webpage on our website, https://www.zpages.net/ using our house templates customised to your branding.

  • Plans typically include: setup, hosting, security/SSL (Secure Sockets Layer), content updates, and support within the chosen allowance.

  • Unless stated otherwise, work is performed remotely during UK business hours.

  • Certain aspects of the members' zpages rely on third-party integrations (e.g. the bulletin boards are currently fed from Instagram) and their continuing operation is therefore dependent on the continuation of the availability of linking to such third-party operators. Such availability is clearly beyond our control and we thus make no warranty that such will continue in the current form indefinitely. In the event that a particular zpage member feature becomes unavailable or ceases to work, we commit on a best effort basis to replace such discontinued feature with a similar feature from another third-party operator, but we make no guarantee that this will be possible.

 

The indicative plan matrix is published on the Join page and may be subject to change or amendment from time to time.

3) Onboarding & Client Responsibilities

​

  • Provide accurate copy, images, logos, brand colours and any regulatory statements we must include.

  • Confirm a single point of contact for approvals.

  • Supply access to domain/DNS (Domain Name System), email service, analytics and any third‑party tools as needed.

  • Approve or request changes within 5 Working Days of publication of your zpage. 

 

4) Deliverables & Changes

​

  • We will configure your zpage to the agreed plan and notify you upon publication.

  • Minor edits are included during the setup window. Material changes (layout overhauls, new sections, new functionality) may be quoted separately.

  • After go‑live, changes are handled under your monthly update allowance which is: zero for Directory, 10 minutes for Bronze, 15 minutes for Silver, 20 minutes for Gold and 30 minutes for Platinum. Unused update minutes only roll over at our absolute discretion.

  • Additional time is billed at £40/h in 5‑minute increments, so for example a change of address outside of your monthly update allowance (which would take approximately 10 minutes to read your request, edit the text on your zpage and republish it) would cost you £6.67. In some cases, where the billable amount is low, we may at our absolute discretion, waive the bill.

 

5) Fees, Billing & Price Changes

​

  • Setup fee: the setup fees for each class of membership are published on the Join page and may be subject  to change from time to time.

  • 14-day cooling-off (consumers only). If you purchase at a distance (online/phone/email) as a consumer (not acting in the course of a business), you have 14 calendar days from the day after your first payment to cancel under the Consumer Contracts Regulations 2013. We will not begin work during this period unless you ask us to start early. If you ask us to start early, you agree that if you cancel within the 14-day period we may retain or charge a proportionate amount for work already performed and any non-recoverable third-party costs (e.g., stock licences), and refund the balance. If the service is fully performed within the 14-day period at your request, you lose the right to cancel. Business customers (companies/LLPs/sole traders acting for business purposes) do not have a statutory cooling-off right. This clause takes precedence over any “no refunds” wording elsewhere and does not affect your statutory rights.

  • Monthly subscription: the monthly fees for each class of membership are published on the Join page and may be subject to change from time to time. They are also subject to annual reviews and may be increased in line with retail price inflation.

  • Third‑party costs (e.g. domain costs & renewals, email accounts, stock licences) are not included unless we state otherwise.

  • We may adjust prices with 30 days’ notice at any time.

 

6) Term, Renewal, Pauses & Cancellation

​

  • Minimum term: there is no minimum term and you may cancel your subscription at any time. No refunds are payable once a subscription has been paid, irrespective of what part of the billing cycle the cancellation is made. 

  • We may suspend your zpage for non‑payment after 7 days overdue and reinstate upon settlement. If unpaid for 30 days, we may delete the zpage and related assets not required by law. We may retain server/backups for up to 90 days.

 

7) Ownership

​

  • You own: the content and brand assets you supply; any domain registered in your name; final text you approve.

  • We own: our templates, components, libraries and workflows. We grant you a non‑exclusive licence to use these in your zpage while your subscription is active and all fees are paid.

  • On cancellation we will unpublish your zpage. On request, we can export your text and images (as available) to you; our templates and components are not transferable. We will charge for this at the normal hourly rate.

 

8) Domains, Email & Third‑Party Tools

​

  • Domain registration/renewal, email services (e.g., Google Workspace, Microsoft 365) and premium apps are third‑party contracts between you and the provider. We can configure them as your agent but are not a party to those contracts.

  • We are not responsible for third‑party outages or policy changes.

 

9) SEO, Performance & Accessibility

​

  • We implement baseline SEO for zpages.net as a whole (titles, meta, headings, redirects, sitemap, robots).

  • We do not guarantee rankings, traffic, conversions or ad performance for your particular zpage.

  • Performance depends on user devices, networks and third‑party scripts.

  • We aim for good accessibility practices (clear hierarchy, alt text support) but do not warrant WCAG (Web Content Accessibility Guidelines) conformance unless expressly scoped and delivered.

 

10) Content Standards & Acceptable Use

  • You warrant that your Content is lawful, accurate and free of IP infringement.

  • No malware, discrimination, hate, adult, or illegal material.

  • You indemnify us against claims arising from Content you supply or approvals you give.

 

11) Data Protection (UK GDPR)

​

  • Each party shall comply with UK data protection laws.

  • For web‑to‑email form submissions delivered directly to you, you are the Data Controller.

  • Where we access personal data to provide support, we act as your Processor and will: process only on your instructions; keep data confidential; maintain appropriate security; assist with data subject requests where reasonable; and delete/return data on request unless law requires retention.

  • Do not send special category data via unsecured forms unless expressly scoped with additional safeguards.

 

12) Support & SLAs (Service Level Agreements)

  • Support channels: Any and All requests for maintenance, amendment or any other matter related to your zpage should be sent to admin@zpages.net so that a time-stamped, permanent written record exists of the request.

  • We target a response within 72 hours of receiving your request and shall endeavour to carry out any work required within 7 working days. 

  • Planned maintenance may occur outside business hours.

 

13) Warranties

​

  • We warrant that we will provide services with reasonable care and skill.

  • Except as stated, your zpage and services are provided “as is” and we disclaim implied warranties to the fullest extent permitted by law.

 

14) Liability Cap

​

  • Our total liability for any claim arising out of this agreement shall not exceed the total fees paid by you in the 12 months preceding the event giving rise to the claim.

  • We are not liable for: loss of profits, revenue, data, goodwill; business interruption; or indirect/consequential losses.

 

15) Confidentiality & Publicity

​

  • Each party will keep the other’s non‑public information confidential.

  • We may display your zpage in our portfolio and say we built/maintain it.

 

16) Force Majeure

​

  • Neither party is liable for delay or failure caused by events beyond reasonable control (e.g., internet or hosting outages, strikes, war, epidemics, government action).

 

17) Changes to These Terms

​​

  • We may update these terms for legal/operational reasons. We will give 30 days’ notice for any material change that adversely affects you. Continued use after the notice period signifies acceptance.

18) Governing Law

​​

  • This agreement is governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of its courts.

19) Complaints & Contact

​

  • If you are unhappy with any part of the service, please email admin@zpages.net. We will acknowledge within 2 Working Days and aim to resolve within 10 Working Days.

Annex A – Zpage Owner Responsibilities & Customer Terms

 

A1. Relationship clarification.
 

Each zpage is operated by the zpage owner (the individual or business shown on the page). Network Z provides the publishing platform only and is not a party to any contract between a zpage owner and their customers. Zpage owners are responsible for their own legal compliance, prices, advertising claims, refunds, data protection, and customer service. Where a zpage owner accepts payments, they do so under their own merchant agreement.

A2. Owner obligations.
 

Zpage owners must publish accurate business details (legal name, geographic address, contact email/phone, company & VAT numbers where applicable) and their own Customer Terms that comply with UK consumer law (including the Consumer Rights Act 2015 and, where relevant, the Consumer Contracts Regulations 2013).

 

A3. Assistance Provided.
 

Model terms for some business types may be available in the members' section of this website as examples to help owners get started. Owners should tailor them for their business, and seek advice from suitably qualified professionals where needed. WARNING: the guidelines in the members' area are not legal advice nor opinion.
